Freightways to acquire Australian express freight operator VT Freight Express

Freightways Group has announced it will acquire the business and assets of Victorian-based VT Freight Express (VTFE), expanding its Australian presence in the express freight market and strengthening its B2B capability.

VTFE, founded in 2010, provides express parcel and pallet delivery across Victoria and into interstate markets. The company services more than 350 clients across sectors including building, healthcare, retail and plumbing. Its asset-light operating model, built around a contractor fleet and leased facilities, is similar to Freightways’ Allied Express business.

Freightways says the acquisition will add scale in a niche complementary to Allied Express’ B2C focus and will support future market-share growth, both organically and through further mergers and acquisitions. Completion is expected on or after January 30, 2026, subject to customary conditions.

The agreed purchase price is A$71 million (NZ$81.4), subject to adjustments. VTFE recorded A$77m in revenue in the 12 months to October 2025, and Freightways expects the transaction to be 6% earnings-per-share accretive in its first year.

The company says benefits of the deal include leveraging core express pick-up, processing and delivery capabilities, establishing a stronger entry point into the B2B market in Australia, and operating VTFE as a complementary brand under Freightways’ multi-brand strategy. VTFE will retain its own leadership team and remain focused on its niche, while sharing resources where appropriate.

VTFE currently services all Australian states and territories and operates with 87 contractors and 49 staff.

Freightways will fund the acquisition through existing and new bank debt facilities.

KPMG provided financial, tax, climate and ESG due diligence; Gilbert + Tobin acted as legal adviser; and Balfour Green acted as M&A adviser. Wisewould Mahoney acted for VTFE.
